*Important Update to ByLaws*
Motion to Uphold Previously Adopted Amendment to Bylaw 1-5 as previously approved by the Board of Directors.
Motion to maintain and reaffirm the amended version of Bylaw 1-5 as previously approved by the Board of Directors.
Current Amended Bylaw 1-5 Officers - All Meetings
Past Presidents may attend Board meetings only by invitation from the current President, Vice President(s), Treasurer or Secretary. Such invitations shall be limited to a maximum of two (2) meetings within any twelve (12) month period. Attendance beyond this limit must be approved by a vote of the full Board.
If invited, Past Presidents may make and second motions but shall not have voting rights. They are entitle to one(1) vote only at the Annual General Meeting (AGM) for a period of twelve (12) months after leaving office.
Previous Version:
Past Presidents were entitle to all privileges of the Association, including the right to make and second motions, excluding only the right to vote, with the exception that the immediate Past President was entitled to cast one (1) vote only at the AGM
Why this can create a problem:
Because "all privileges of the Association" is broad and vague, it may raise questions such as:
-
Can they attend every board meeting automatically?
-
Can they influence board business without accountability?
-
Are they treated like current officers?
-
Do multiple presidents all have meeting rights forever?
